Terms of Service

General Archival

These Terms of Service ("Terms") are a legal agreement between you ("you," "your," or "Customer") and Kevin Frances, a sole proprietorship doing business as General Archival ("General Archival," "we," "us," or "our"). They govern your access to and use of the General Archival website, application, and services (together, the "Service") available at https://generalarchival.com.

By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

General Archival is a web-based art inventory and archival tool that lets you catalog artworks, store images and related records, manage contacts and sales, track exhibitions, and use optional AI-assisted features to import and organize information. We may add, change, or remove features over time.

We may suspend or terminate accounts that violate these Terms.

7. Third-party services

The Service relies on third-party providers (for example, hosting, storage, payment, and AI providers). Their availability and terms are outside our control, and interruptions in their services may affect the Service. The subprocessors we use are listed in our Privacy Policy.

8. Service availability

We aim to keep the Service available but do not guarantee uninterrupted or error-free operation. The Service is provided during an active development/test phase and may change, experience downtime, or contain bugs. We may modify or discontinue the Service, or any feature, at any time.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY CONTENT (INCLUDING AI-GENERATED CONTENT) WILL BE ACCURATE.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, General Archival AND Kevin Frances WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

12. Indemnification

You agree to indemnify and hold harmless Kevin Frances and General Archival from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of Your Content, your use of the Service, or your violation of these Terms or of any law or third-party right.

13. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will notify you (for example, by email or a notice in the Service) before they take effect. Continuing to use the Service after changes take effect means you accept the updated Terms.

14. Governing law and disputes

These Terms are governed by the laws of the State of New York, United States, without regard to its conflict-of-laws rules. You agree that the state and federal courts located in New York will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, and you consent to venue there.

15. Copyright complaints

We respect intellectual-property rights and expect you to do the same. If you believe content on the Service (for example, in a public share page) infringes your copyright, send a notice to hello@generalarchival.com that includes: (a) identification of the copyrighted work; (b) identification of the material you claim is infringing and where it is located on the Service (e.g., the share URL); (c) your contact information; (d) a statement that you have a good-faith belief the use is not authorized by the copyright owner, its agent, or the law; (e) a statement, made under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on the owner's behalf; and (f) your physical or electronic signature. We will respond to valid notices, including by removing the material where appropriate, and we may terminate the accounts of repeat infringers.
